Acceptance of Terms

By accessing or using FirehallDB, you agree to be bound by these Terms of Use (“Terms”). These Terms form a legally binding agreement between your fire department (“Customer” or “you”) and Fire Line Ops Inc. (“we”, “us”, or “our”). If you do not agree to these Terms, you must not use the service.

Your continued use of FirehallDB after any updates to these Terms constitutes acceptance of those changes. We encourage you to review this page periodically. The version posted here is always the current version.

These Terms apply to all users of FirehallDB, including administrators, officers, and individual personnel who access the platform under a department’s account.

Eligibility

FirehallDB is designed exclusively for use by fire departments, fire protection districts, and related emergency services organizations. To create an account or use the service, you must be an authorized representative of such an organization and have the authority to enter into agreements on its behalf.

By registering for FirehallDB, you represent and warrant that you have the legal authority to bind your department to these Terms. If you do not have that authority, you must not create an account or use the service on behalf of the department.

Individual personnel who access FirehallDB through a department’s account do so under the department’s authorization and are subject to both these Terms and any additional policies the department establishes for its members.

Account and Security

You are responsible for maintaining the confidentiality of your account credentials, including passwords and any multi-factor authentication methods. Do not share credentials between users — each person who accesses FirehallDB should have their own account.

Your department is responsible for all activity that occurs under its accounts, whether or not authorized by you. Fire Line Ops Inc. is not liable for losses resulting from unauthorized access caused by your failure to secure your credentials.

If you suspect unauthorized access to your account or any security breach, notify us immediately at hello@firehalldb.com. We will work with you promptly to investigate and contain the incident.

Acceptable Use

FirehallDB may only be used for lawful purposes and in connection with legitimate fire department operations. You agree not to use the service in any way that violates applicable federal, provincial, or local law or regulation.

The following are expressly prohibited:

  • Interfering with or disrupting the integrity or performance of the service
  • Attempting to gain unauthorized access to any part of the service or its related systems
  • Reverse-engineering, decompiling, or disassembling any portion of the FirehallDB software
  • Storing or processing data in FirehallDB that is unrelated to fire department operations (e.g., using the platform as general-purpose file storage or as a database for unrelated business activities)
  • Transmitting harmful code, malware, or any content designed to damage or exploit systems or users
  • Reselling or sublicensing access to FirehallDB to any third party without our prior written consent

Fire Line Ops Inc. reserves the right to investigate and, where necessary, suspend or terminate accounts found to be in violation of this policy.

Customer Data and Ownership

Your department retains full ownership of all operational data you submit to FirehallDB, including incident records, personnel information, fleet and apparatus records, equipment inspection data, and any other content your department generates or uploads (“Customer Data”).

By using the service, you grant Fire Line Ops Inc. a limited, non-exclusive license to store, process, and use Customer Data solely as necessary to provide and improve the FirehallDB service to your department. We do not sell Customer Data to third parties or use it for advertising purposes.

You may request an export of your Customer Data at any time by contacting hello@firehalldb.com. We will provide the export in a standard machine-readable format within a reasonable timeframe. Upon termination of your account, we will retain Customer Data for a limited period to allow for export before deletion.

Service Availability

Fire Line Ops Inc. aims to keep FirehallDB reliably available. We invest in infrastructure and monitoring to minimize downtime. However, we do not guarantee any specific uptime percentage or service level at this stage of the product.

We may perform scheduled or emergency maintenance from time to time, which may temporarily affect access to the service. Where possible, we will provide advance notice of planned maintenance windows.

FirehallDB is not designed or certified for use as an emergency dispatch system. Do not rely on the service for real-time emergency communications or life-safety decisions.

Fees and Billing

During the current early access and pilot phase, FirehallDB is provided to participating departments at no charge. We appreciate your partnership as we refine the product.

When FirehallDB moves to a paid model, fees will be set out in the order form or pricing page in effect at the time of your subscription. Fire Line Ops Inc. will provide reasonable advance notice — no less than 30 days — before introducing or materially increasing fees for existing customers.

All fees are stated in Canadian dollars unless otherwise specified. Applicable taxes are the responsibility of the Customer.

Confidentiality

Each party may receive confidential information from the other in connection with the service (“Confidential Information”). Each party agrees to protect the other’s Confidential Information using at least the same degree of care it uses for its own confidential information, and in no event less than reasonable care.

Confidential Information does not include information that is publicly available through no fault of the receiving party, already known to the receiving party prior to disclosure, or independently developed without reference to the disclosing party’s Confidential Information.

Confidentiality obligations survive termination of these Terms for a period of three years.

Intellectual Property

Fire Line Ops Inc. retains all rights, title, and interest in and to the FirehallDB software, platform, documentation, trademarks, and brand — including all updates, enhancements, and derivative works thereof. Nothing in these Terms transfers any intellectual property rights in the FirehallDB platform to you.

You retain all rights in your Customer Data and any content your department submits to the service. The limited license you grant us under Section 5 (“Customer Data and Ownership”) does not diminish your ownership of that content.

Feedback, suggestions, or ideas you share with Fire Line Ops Inc. about the service may be used by us to improve FirehallDB without any obligation to compensate you.

Termination

Either party may terminate these Terms if the other party commits a material breach and fails to cure that breach within 30 days of written notice. Fire Line Ops Inc. may also suspend or terminate access immediately if your department violates the Acceptable Use policy.

You may terminate your account at any time by contacting hello@firehalldb.com. Upon termination, your department’s access to the service will cease.

Following termination, Customer Data will remain accessible for export for a reasonable period before permanent deletion. Sections of these Terms that by their nature should survive termination (including confidentiality, intellectual property, liability, and indemnification) will continue to apply.

Disclaimers

FirehallDB is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, Fire Line Ops Inc. disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

FirehallDB is a records and management tool. It is not a substitute for your department’s obligations under applicable fire codes, occupational health and safety regulations, or other legal and regulatory requirements. Compliance with all applicable laws and standards remains your department’s responsibility.

FirehallDB is not designed for emergency dispatch, real-time incident command, or any life-safety-critical use case. Do not use it as your primary means of coordinating active emergency response.

Limitation of Liability

To the maximum extent permitted by applicable law, Fire Line Ops Inc. will not be liable for any indirect, incidental, special, punitive, or consequential damages arising out of or related to your use of FirehallDB, even if we have been advised of the possibility of such damages.

Fire Line Ops Inc.’s aggregate liability to your department for all claims arising under or related to these Terms is limited to the total fees your department paid to Fire Line Ops Inc. in the 12 months immediately preceding the event giving rise to the claim. If your department has not paid any fees, the aggregate liability cap is CAD $100.

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, Fire Line Ops Inc.’s liability is limited to the greatest extent permitted by law.

Indemnification

Your department agrees to indemnify, defend, and hold harmless Fire Line Ops Inc. and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your department’s misuse of FirehallDB or violation of these Terms
  • Any Customer Data your department submits that infringes a third party’s rights or violates applicable law
  • Any breach of your representations and warranties under these Terms

Fire Line Ops Inc. will promptly notify you of any claim subject to indemnification and will cooperate reasonably in the defense of that claim.

Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of , Canada, without regard to its conflict-of-laws rules.

Any dispute arising out of or relating to these Terms or your use of FirehallDB that cannot be resolved informally will be submitted to the exclusive jurisdiction of the courts of that province.

Fire Line Ops Inc. and your department agree to first attempt to resolve disputes through good-faith negotiation before initiating formal proceedings.

Changes to These Terms

Fire Line Ops Inc. may update these Terms from time to time to reflect changes in the service, applicable law, or our business practices. We will post the updated Terms at this URL with a revised “Last updated” date.

For material changes, we will notify account administrators by email at least 14 days before the new Terms take effect. Your department’s continued use of FirehallDB after the effective date constitutes acceptance of the revised Terms.

If you do not agree to a change, you may terminate your account before the effective date of the updated Terms.
